What Realtix does

Realtix organizes groups of everyday people to buy a real property together. Each property gets its own company. Investors buy interests in that company through a regulated offering, and the company buys and owns the property.

Realtix is the proposed sponsor and manager of each property company: it finds and buys the property, oversees operations with qualified staff and licensed contractors, keeps investor records and carries out decisions owners are entitled to make. Its duties, authority, fees and conflicts will be set out in signed agreements, and each property company keeps its own bank accounts and books, separate from Realtix's.

You can explore properties and community plans today. Listings marked research only are not investments, and an address or asking price doesn't give anyone the right to sell you a piece of it.

What you would own

Units in the property company, usually an LLC. Not the deed, and not a room in the building. The operating agreement says what you get: your share of any cash it pays out, what happens when it sells, what owners vote on, and every fee.

An official ownership register, kept by a transfer agent or the issuer, is the final word on who owns what. Realtix shows what the register confirms.

How money moves

You invest through the process named in each offering's documents. Realtix aims to host offerings on Realtix once they are qualified with the SEC; if counsel decides an offering must run through a registered funding portal, it runs there. Either way you get the offering documents first, and you pay by bank transfer (ACH) or wire.

Your payment goes to an escrow agent, such as a bank, which holds it until the offering closes. Neither Realtix nor a funding portal holds investor money. If the offering doesn't reach its minimum or is cancelled, it comes back.

At closing, escrow releases the money to the property company and a title company completes the purchase, with title in the property company's name. Payment, closing and ownership show as separate steps in your Activity.

Voting and reports

Owners vote on the decisions the operating agreement gives them, weighted by units on the register at a record date. Each owner casts one final ballot, and results show after the vote closes. Some votes are advisory; each one says which.

Each property's owner room has reports from the books (income, expenses, reserves, occupancy) with the source cited, plus distributions and documents.

Fees

Every fee is listed in the offering documents: what it's for, who receives it, who pays it and when. Fees paid by the property company reduce investors' returns.

As manager, Realtix plans to propose an acquisition and organization fee paid by the property company at closing and an annual administration fee. Those terms are under legal review and aren't final. Realtix charges nothing to browse or create an account.

Selling later

Plan to hold until the property is sold. Interests sold under Regulation Crowdfunding generally can't be resold for a year, apart from limited exceptions.

After that, the holding period ending doesn't create a market. A sale needs a permitted transfer and a buyer, and there may be none. Realtix doesn't promise a market, instant sales or redemption. If you want to sell, you ask through Realtix and the keeper of the official register checks the transfer against the operating agreement and the law.

Your share and your distributions

Your share is your units divided by all outstanding units in your class. If investors put $500,000 into one class at the same price with the same rights, someone who put in $5,000 owns 1% of that class. That's 1% of the property company's investor class, not 1% of Realtix.

Distributions come from net cash: rent collected, minus property expenses, any debt payments, required reserves and disclosed fees. If $10,000 is distributed to the class, the 1% holder gets $100. Nothing is guaranteed, and losses and drops in value affect investors too.

Plans are quarterly distributions, paid by bank. There are no crypto wallets, tokens or crypto payments: ownership is an ordinary company interest recorded on the official register.

Risks

Property investments can lose money, including all of it. Repairs run over, tenants leave, rates change and sales take longer than planned. A small property spreads costs over few owners.

Numbers on Realtix are labeled actual, quote, estimate or assumption. A budget isn't called underwritten until every major cost is backed by a written quote or actual.
